RealStock – Terms of Service

1. Definitions

“RealStock,” “we,” or “us” means the RealStock service and its operator.
“User” or “you” means any person accessing RealStock.
“Assets” means downloadable files (e.g., images, videos, metadata) provided by RealStock.
“Standard License” means the individual commercial-use license granted under Section 2.
“Enterprise License” means a separate, negotiated corporate license as per Section 15.

2. License Grant (Standard – Individual Use)

Subject to these Terms and full payment (if applicable), RealStock grants you a non-exclusive, non-transferable, non-sublicensable, worldwide license to use the Assets for individual commercial and non-commercial projects, including: websites, social media, online ads, videos, editorial designs, and printed materials you create for yourself or your sole-proprietor business.

Seat & Scope. One natural person per license. Agencies or corporate teams require an Enterprise License.

What you may do: edit, crop, overlay text/graphics, color-correct, composite with your own or licensed content, use in monetized channels, and include in client deliverables if you are an individual contractor (single seat) producing a final work for one client.

What you may not do: see Section 3 (Prohibited Uses). You may not claim trademark rights in the Assets or use them as a logo.

3. Prohibited Uses

1. Re-distribution / Repackaging. Do not resell, give away, share, or re-upload the Assets (or substantially similar derivatives) on stock marketplaces, template stores, or any system where others can download the Assets as stand-alone files.
2. Template or “as-is” resale. Do not include the Assets in products whose main value is the Asset itself (e.g., clip packs, wallpaper packs, sticker sheets, PSD/PNG bundles), even if modified.
3. Trademarks & logos. Do not register or use the Assets (in whole or part) as a trademark, logo, or brand identity.
4. Unlawful / harmful content. No defamatory, obscene, pornographic, exploitative (including minors), hateful, harassing, misleading deepfakes, or extremist propaganda uses.
5. Sensitive endorsements. Do not imply any endorsement by a real person or brand. Do not use in medical, legal, or financial advice contexts in a misleading way.
6. Biometric or identification use. Do not use Assets to identify a real person or to build face recognition/biometric systems.
7. AI training / dataset building. See Section 6. You may not ingest Assets or metadata into datasets to train or improve ML/AI models.
8. Reverse engineering the service. Do not scrape, bulk-download beyond reasonable use, or circumvent technical protections.

4. Ownership & Intellectual Property

All rights not expressly granted are reserved by RealStock or its licensors. You obtain a license, not ownership. You may not remove or alter copyright notices or identifiers.

5. Model/Property Releases

Unless expressly stated, Assets are AI-generated and do not depict real persons or properties. No model or property release exists for real individuals or real-world locations/marks. You are responsible for clearing any third-party rights (e.g., trademarks) if your usage could imply association.

6. Generative AI & Data Use (Training Prohibited)

You must not use any Assets, thumbnails, captions, tags, or metadata to train, fine-tune, or improve any machine learning or generative AI models; to create feature embeddings; or to seed dataset collections, whether public or private. Caching for search within your own project files is permitted, but dataset aggregation for model development is not.

7. Attribution

Attribution is not required but appreciated. Suggested credit: “Image: RealStock”.

8. Delivery, Updates, & Availability

RealStock may update, add, or remove Assets or features at any time. Access may be interrupted for maintenance or technical reasons.

9. Payments, Taxes, & Refunds

All fees are due at purchase or per plan terms. Prices and taxes may change. Digital goods are generally non-refundable to the maximum extent permitted by law.

10. Term & Termination

These Terms apply while you access the service. RealStock may suspend or terminate access for violations. Upon termination, you must stop using and delete the Assets, except finished works already delivered to end clients may continue to be used, provided ongoing use complies with these Terms.

11. Warranties & Disclaimers

THE SERVICE AND ASSETS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. REALSTOCK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALSTOCK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; AND OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO REALSTOCK IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will indemnify and hold RealStock harmless from claims arising out of your use of the Assets, including your composites, your failure to obtain third‑party permissions, or your violation of these Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Japan, without regard to its conflict of laws rules. Exclusive jurisdiction and venue lie in the Tokyo District Court, Japan.

15. Enterprise License (Corporate Use)

Organizations, multi-seat teams, or large-scale usage require a separate Enterprise License with custom scope, indemnities, and support. Contact us at licensing@realstock.example.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new “Last Updated” date.

18. Language

If there is any inconsistency between translations, the English version prevails.
